Terms of service

Effective date: 21 July 2026

These terms cover your use of POClerk, an application for Shopify stores that turns emailed and uploaded purchase orders into draft orders. POClerk is independently operated ("POClerk", "we", "us"). By installing or using the app, you agree to what follows. Questions: support@poclerk.com.

The short version

  • You install POClerk on your Shopify store; we read the purchase orders you send us and prepare draft orders for your review.
  • POClerk prepares drafts. You decide what becomes a real order.
  • Your first 10 purchase orders are free. After that you pick a plan, billed through Shopify.
  • Your data stays yours. Uninstall and it is deleted.
  • We do not promise perfect extraction — no one honestly can. We promise that uncertainty is shown to you rather than hidden, and we publish how well it performs.

Who can use POClerk

POClerk is a business tool for Shopify merchants. To use it you need an active Shopify store, and you must be authorised to install applications on it and to accept these terms on behalf of the business that owns it. It is not intended for consumers or for anyone under 18.

What the service does

POClerk receives purchase orders sent to the address assigned to your store or uploaded in the app, extracts the order details, matches each line against your product catalog, and prepares a Shopify draft order for you to review. Where it is not confident about a line, it holds that line and shows you why.

Draft orders only. POClerk creates draft orders. It does not complete orders, take payment, charge your customers, or fulfil anything. Turning a draft into a real order is always an action you or your staff take in Shopify. If you enable autopilot for a specific customer, drafts for that customer may be created without you opening each one first — they are still drafts, and any line POClerk is unsure about still waits for your review.

Accuracy, and what you are responsible for

POClerk reads documents written by other people, in formats we do not control, and matches them against a catalog we did not write. It is accurate, we measure it publicly, and it is not perfect.

  • We publish our accuracy testing, including its method and its limits, at poclerk.com/benchmark. Those figures describe our test corpus. They are not a warranty about your catalog, your buyers' documents, or any individual order.
  • You are responsible for reviewing orders before acting on them. The review screen exists for this reason: it shows each entered line beside the original document. Your free first 10 orders are there so you can judge the quality on your own data before paying anything.
  • Held lines are working as designed. A line held for review is not a fault; it is the app declining to guess.
  • We are not liable for losses arising from an order you approved — including a mis-shipped, mis-priced or duplicated order — where the information needed to catch it was shown to you before you approved it.

We do not warrant that the service will be uninterrupted or error-free, and the service is otherwise provided "as is" to the extent the law allows.

Your account and your data

Your data — purchase orders, extracted lines, catalog snapshots, learned aliases and settings — belongs to you. We process it to run the service for you, as described in the privacy policy, which forms part of these terms.

For purchase-order content concerning your customers, you are the data controller and we act as your processor. You are responsible for having a lawful basis to send us that content, and for telling your own customers what you do with their data where the law requires it.

We do not sell your data, use it for advertising, or use your purchase orders to train AI models. Our AI provider is contractually barred from training on it too.

Plans, billing and limits

  • Free start. Your first 10 purchase orders are free. No card, no expiry.
  • Paid plans are charged monthly or annually through Shopify's billing system and appear on your normal Shopify invoice. Prices are shown in the app and at poclerk.com/pricing. Annual plans are discounted 20%.
  • Included volumes are per rolling 30 days — 150 purchase orders on Starter, 500 on Growth. One purchase order counts as one, regardless of how many lines it contains. Reprocessing a document you have already used, and fixing lines in review, do not count again.
  • Going over your limit does not fail your orders. The first time you reach your included volume, a one-time grace of 20 further orders is applied automatically. Beyond that, new purchase orders are held unprocessed in your inbox with a notice, and process when you upgrade. Nothing is discarded.
  • Founding pricing. Stores that subscribe while the founding cohort is open — the first 100 stores, or until 31 December 2026, whichever comes first — pay the founding price for as long as their subscription remains continuously active. Cancelling ends that entitlement; resubscribing later is at the list price then in force.
  • Changes to price. We may change list prices with at least 30 days' notice in the app or by email. A founding price, while it applies, is not changed by this.
  • Refunds. Because the free tier exists precisely so you can evaluate the service on your own data, we do not offer routine refunds for time already subscribed. If something on our side went wrong and cost you money, write to us — we would rather fix it than argue about it.
  • Taxes are handled by Shopify as part of its billing.

Acceptable use

Don't use POClerk to:

  • process documents you have no right to process;
  • attempt to extract, reverse-engineer or resell the service's underlying models, prompts or matching logic;
  • deliberately submit content designed to manipulate the service's output, probe other stores' data, or degrade the service for others;
  • resell or provide the service to third parties as your own, or use one store's subscription to process purchase orders belonging to other businesses; or
  • break the law, or Shopify's terms, with it.

We may suspend an account that is doing any of these, or that is generating load that threatens the service for others. Where we can, we will contact you first.

Availability and support

We aim to keep POClerk running continuously, and we will give reasonable notice of planned maintenance where we can. We do not offer a contractual uptime guarantee.

Support is by email at support@poclerk.com, answered within one business day (Monday to Friday, European hours). There is no telephone or live-chat support.

Changes to the service

POClerk is actively developed and will change. We may add, alter or remove features. If we remove something you materially depend on, or make a change that significantly reduces the service, we will tell you in the app or by email and, if you are on a paid plan and unhappy, you may cancel.

Ending it

  • You can uninstall POClerk from your Shopify admin at any time. That cancels the subscription through Shopify, immediately revokes our access to your store, and starts the deletion described in the privacy policy: about 48 hours later, on Shopify's shop-deletion signal, all your files and records are erased.
  • We may end or suspend your access for a serious or repeated breach of the acceptable-use section, or if required by law or by Shopify. Except where the breach makes it inappropriate, we will give notice and a chance to put it right.
  • Draft orders already created live in your Shopify store and remain yours after either of us ends this.

Liability

Nothing in these terms limits or excludes liability where the law does not allow it to be limited or excluded.

Subject to that: neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Our total liability arising from the service, in aggregate, is limited to the greater of the fees you paid us in the 12 months before the claim arose, or 100 US dollars.

You accept that this limit is reasonable given what the service costs and what it does: POClerk only ever creates draft orders. A draft order does not charge anyone, ship anything, or become a real order until you or your staff complete it in Shopify.

Relationship with Shopify

POClerk is a third-party application. Shopify is not a party to these terms, provides no warranty for POClerk, and is not liable for it. Your use of Shopify is governed by Shopify's own terms, which take precedence over these for anything concerning the Shopify platform itself.

Law

These terms are governed by the laws of the Republic of Lithuania, and the courts of Lithuania have jurisdiction. If you deal with us as a business in another country, this does not remove any right you have under the mandatory consumer or commercial law of your own country where such law applies.

Changes to these terms

If these terms change materially, we will note it here with a new effective date and flag it in the app. Continuing to use POClerk after a change means you accept the updated terms; if you do not, uninstall.
